These Terms of Service (the "Terms") govern your access to and use of the Coffee or Tea on Me mobile application and related services (the "Service") provided by Coffee or Tea on Me Inc. ("Coffee or Tea on Me", "we", "us", or "our"). The Terms incorporate by reference our End User License Agreement (EULA) and our Privacy Policy, which together with these Terms form the entire agreement between you and us.
1. Acceptance
By creating an account, downloading the app, or using the Service in any way, you agree to be bound by these Terms, the EULA, and the Privacy Policy. If you do not agree, you must not use the Service.
2. Eligibility
- You must be at least 18 years old to use the Service.
- You must complete identity verification — government-issued ID scan, facial liveness check, and face deduplication — before any feature unlocks.
- You must reside in a jurisdiction where the Service is available. The Service is currently unavailable to residents of Illinois, USA pending compliance with the Biometric Information Privacy Act, and may be restricted in other jurisdictions from time to time.
- You must not be a person previously terminated from the Service, and you must not be on any sanctions list maintained by the Government of Canada, the United States, the European Union, or the United Nations.
3. Account
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@coffeeorteaonme.com if you suspect unauthorized access. You agree to provide accurate information at signup and to keep it accurate. Each person may have one account; the face deduplication system enforces this and a second account will be blocked.
You may delete your account at any time from Profile → Settings → Delete account. Deletion is permanent and includes the deletion of your profile, photos, conversations, and (if you so elect) your facial vector. See the Privacy Policy for retention details.
4. Subscription and pricing
The Service is currently offered free of charge during our alpha and early launch period. We reserve the right to introduce paid features, premium tiers, in-app purchases, or subscriptions at any time, with reasonable notice in-app. Any paid feature will be clearly priced before purchase, and existing free features in use at the time of the change will remain available without retroactive charge unless otherwise communicated.
5. Apple In-App Purchase
If and when paid features are introduced on iOS, all purchases will be processed through Apple's In-App Purchase system (StoreKit 2). Pricing, billing, refunds, and subscription management for iOS purchases are handled by Apple Inc. under your Apple ID, subject to the Apple Media Services Terms and Conditions. To manage or cancel a subscription, open the iOS Settings app, tap your name, then Subscriptions. We do not have visibility into your Apple payment information and cannot issue refunds for Apple IAP purchases — refund requests must be filed with Apple via reportaproblem.apple.com.
6. Intellectual property
All software, designs, logos, brand assets, copy, and content provided by Coffee or Tea on Me on the Service are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service for your personal, non-commercial use, subject to these Terms.
You retain ownership of the User Content you submit (photos, prompts, bios, messages). By submitting User Content, you grant Coffee or Tea on Me a worldwide, royalty-free, sublicensable licence to host, process, display, and distribute that content strictly for the purpose of operating, improving, and securing the Service.
7. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT MATCHES OR INTERACTIONS WILL RESULT IN A SUCCESSFUL RELATIONSHIP; OR THAT EVERY USER YOU INTERACT WITH WILL BE TRUTHFUL OR SAFE TO MEET. WE DO OUR BEST WORK ON IDENTITY VERIFICATION AND PHOTO SCREENING, BUT NO SYSTEM IS PERFECT — YOU REMAIN RESPONSIBLE FOR YOUR OWN SAFETY WHEN MEETING ANYONE FROM THE SERVICE IN PERSON.
Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the exclusions above apply only to the maximum extent permitted by law.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COFFEE OR TEA ON ME, ITS DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).
9. Indemnification
You agree to defend, indemnify, and hold harmless Coffee or Tea on Me, its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from (a) your use of the Service, (b) your User Content, (c) your violation of these Terms, the EULA, or applicable law, or (d) your violation of any third-party right.
10. Governing law
These Terms are governed by the laws of the Province of Quebec, Canada and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. The language of these Terms is English; a French translation is available on request, and Quebec residents may elect to receive the French version as the controlling text in accordance with applicable Quebec law.
Disputes are resolved by informal resolution followed by binding arbitration as set out in EULA §9.
11. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision will be replaced by a valid provision that comes closest to the intent of the original.
12. Entire agreement
These Terms, together with the EULA and the Privacy Policy, constitute the entire agreement between you and Coffee or Tea on Me regarding the Service and supersede any prior agreements. No waiver of any provision will be effective unless in writing.
13. Changes
We may update these Terms from time to time. Material changes will be communicated in-app and via email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance.
